Digital Files Terms of Use

By purchasing and downloading digital files from Roy and Pip Creations LLC, you agree to the following terms of use:

• USAGE OF FILES

  • The digital files purchased from Roy and Pip are intended solely for use on physical products you intend to create and sell. This includes items such as punch needle mug rugs, wall art, banners, bag charms, keychains, pillows, clothing, etc. You are able to sell that merchandise unlimited number of times.

  • Personal use for your home.
    
    *Applies to micro businesses as defined by fewer than 2 employees and less than $100,000 net income per year. These files are not to be used or mass produced by any manufacturers inside or outside of the United States.
     

• PROHIBITED USES

  • You are strictly prohibited from re-selling, distributing, or sharing the digital files in any digital format. This includes selling the files as digital downloads, sharing them for free, or distributing them on any online platform.

  • The files cannot be sold or used to create products such as transfers, stickers, or similar items for resale in a B2B fashion unless specifically licensed. 

• EDITING AND MODIFICATIONS

  • You have the right to edit and modify the purchased digital files to suit your needs. This includes resizing, reshaping, or altering any part of the design. However, such modifications do not transfer ownership or copyright of the original design.
     

• OWNERSHIP AND COPYRIGHT

  • Any designs that include elements from Roy and Pip remain the intellectual property of Roy and Pip. You do not acquire ownership rights or copyright to any part of the design, even if modified.
     

• SOCIAL MEDIA CREDITING

  • When showcasing items for sale that have been created using Roy and Pip designs on social media platforms, you are required to tag @royandpip in your posts.
     

• THIRD PARTY USE

  • You may not share, sell, or transfer the digital files to any third party for their use. Each purchaser is responsible for adhering to these terms.
     

• MODIFICATION OF TERMS

  • Roy and Pip reserves the right to modify or update these terms of use at any time. It is your responsibility to review the terms periodically to ensure compliance.

  • I am not responsible for end-use of products in terms of legal compliance.

  • Legal jurisdiction as per my residence/business registration.

• GRANT OF LICENSE

  • Roy and Pip hereby grants the Licensee a non-exclusive, non-transferable license to utilize specific digital files provided by Roy and Pip solely for the purpose of creating finished products for business-to-business (B2B) sales.
     

• PRODUCTION RESTRICTIONS

  • All production activities utilizing the digital files must be conducted in-house. Engaging third-party entities for the purpose of printing or production is expressly prohibited.
     

• FILE DISTRIBUTION

  • The digital files provided are proprietary and confidential. The Licensee is strictly prohibited from sharing, distributing, or otherwise making these files available to any third parties, including customers to whom final products are sold.

• INTELLECTUAL PROPERTY

  • The Licensee acknowledges that all intellectual property rights in the digital files remain the sole property of Roy and Pip. No transfer of intellectual property rights is made under this agreement. 

• LAW COMPLIANCE

  • The Licensee shall ensure full compliance with all applicable local, state, national, and international laws and regulations in the use of the digital files and the sale of the finished products.

• NO RESALE OF DIGITAL CONTENT

  • The resale, redistribution, or any form of transfer of the digital files to third parties is strictly prohibited.

• TERMINATION

  • In the event of a breach of any of these terms, MilkMilkSugar reserves the right to immediately terminate this license. Upon termination, the Licensee must cease all use of the digital files and discontinue the sale of any final products derived from them.
